* Preferred and Preference stock dividends are declared by the SCE Board of Directors at the rates and for the dates prescribed for each series, subject to the availability of sufficient retained earnings to legally pay the dividends. For each record date, the American Stock Exchange will set an ex-dividend date which is usually the second business day prior to the record date. If you purchase shares on or after an ex-dividend date, you generally will not receive the applicable dividend on those shares. You should consult with your broker for details about the timing and effect of ex-dividend dates. If the payment date is not a business day, payment may be made on the first business day after the payment date.

Special Note Regarding Series A Preference Stock

Effective May 1, 2010, dividends on the Series A preference stock are calculated and reset quarterly based on the highest of the following rates, plus 1.45%: the three-month LIBOR rate, the 10-year Constant Maturity Treasury (CMT) and the 30-year CMT, as defined in the April 20, 2005 Prospectus Supplement.  The  three-month LIBOR rate is determined as the arithmetic average of the daily rates for the preceding two full weeks prior to the Dividend Determination Date.  The 10 year and 30 year CMT will be determined on the Dividend Determination Date.  The Dividend Determination Date is the second business day immediately preceding the first day of the relevant dividend period.
